Register an LLC in Florida

Step 1: Choose a Name for Your LLC

  • Choose a Unique Name: Your LLC name must be distinguishable from other businesses registered in Florida. You can check the availability of your desired name using the Florida Division of Corporations Name Search tool.

Step 2: Reserve Your LLC Name (Optional)

  • Name Reservation (Optional): If you want to reserve your chosen LLC name before filing, you can do so by submitting a Name Reservation Application. This step is optional but can be useful to secure your business name before registration.

Step 3: Designate a Registered Agent

  • Choose a Registered Agent: Every Florida LLC must have a registered agent who accepts legal documents on behalf of the LLC. The registered agent must have a physical address in Florida. This can be an individual or a business entity authorized to do business in Florida.

Step 4: File Articles of Organization

  • File Articles of Organization: To officially register your LLC, you need to file Articles of Organization with the Florida Division of Corporations. You can file online through the Florida Division of Corporations Sunbiz website or by mail.

  • Information Required: You will need to provide your LLC’s name, principal place of business address, registered agent’s name and address, and the names and addresses of LLC members or managers.

  • Filing Fee: As of the latest update, the filing fee for Articles of Organization is $125. This fee is subject to change, so check the current fee schedule on the Sunbiz website.

Step 5: Create an Operating Agreement

  • Draft an Operating Agreement: Although not required by Florida law, it’s advisable to create an operating agreement that outlines the management structure and operating procedures of your LLC. This document helps clarify ownership and operational expectations among LLC members.

Step 6: Obtain an Employer Identification Number (EIN)

Step 7: Register for State Taxes

  • Register for State Taxes: Depending on your business activities, you may need to register for state taxes such as sales tax, unemployment tax, or other applicable taxes. Visit the Florida Department of Revenue website for more information and to register online.https://dos.fl.gov/sunbiz/start-business/

Step 8: Obtain Licenses and Permits

  • Check Local Requirements: Depending on your business type and location, you may need specific licenses or permits to operate legally. Use the Florida Business License Information System to determine what licenses and permits are required for your LLC.

Step 9: Maintain Compliance

  • Annual Report: Florida LLCs are required to file an Annual Report with the Florida Division of Corporations by May 1st each year following the year of formation. The filing fee for the Annual Report is $138.75 as of the latest update.

Additional Tips:

  • Professional Assistance: Consider consulting with a business attorney or tax advisor to ensure compliance with all legal and tax requirements specific to your business.

By following these steps and staying informed about legal requirements, you can successfully register your LLC in Florida and start your business journey with confidence.
